Busines Health Check Terms and Conditions
Business Health Check Terms and Conditions
Last updated September 2026
These Terms govern the purchase of, access to and use of the Business Health Check service operated by The IncuHive Group Limited (IncuHive, we, us or our). By creating an account, purchasing a subscription, accepting funded access or using the service, you agree to these Terms. If you act for an organisation, you confirm that you have authority to bind it.
1 Who we are
Business Health Check is operated by The IncuHive Group Limited, Hursley Park Road, Hursley, Hampshire SO21 2JN, United Kingdom. Company number: [insert]. VAT number: [insert]. Contact email:
The service provides online business diagnostic, assessment, benchmarking, scoring, reporting and business-support functionality through businesshealthchecks.co.uk.
2 Business customers and consumers
The service is primarily intended for businesses, founders, directors, employees and entrepreneurs acting for business purposes. A person purchasing wholly or mainly outside their trade, business, craft or profession may be a Consumer.
Nothing in these Terms excludes or restricts a Consumer's statutory rights. Where a provision distinguishes Business Customers and Consumers, the relevant provision applies accordingly.
3 Eligibility and accounts
You must be at least 18, provide accurate registration information, keep credentials secure and promptly notify us of suspected unauthorised access. You are responsible for activity under your account unless caused by our failure to exercise reasonable care.
We may require verification of identity, authority, programme eligibility or payment information. Accounts may not be transferred without our written consent.
4 The service
Depending on the plan or programme, the service may include questionnaires, diagnostic scores, founder-success, maturity and momentum assessments, benchmarking, reports, recommendations, suggested actions, repeat assessments, progress tracking, adviser input and related support.
We may improve or change features where reasonably necessary for security, legal compliance, interoperability or product development. We will not materially reduce the core paid service during a current annual term without reasonable notice, except where urgent action is required.
5 Diagnostic and decision support only
The service helps users understand and improve a business. It does not guarantee revenue, funding, growth, compliance, solvency or business success. Scores, reports and recommendations are decision-support tools, not promises or statements of fact.
You remain responsible for all commercial decisions and for checking whether recommendations suit your circumstances. Obtain qualified legal, financial, tax, accountancy, investment, employment, insolvency, regulatory, cybersecurity or other specialist advice where appropriate.
6 No professional or regulated advice
Unless expressly agreed in a separate signed engagement, the service does not provide legal, tax, regulated financial, investment, accountancy, audit, insolvency, credit, employment, insurance or other regulated advice. We do not act as your solicitor, accountant, auditor, lender, insurer, investment adviser or fiduciary.
7 Artificial intelligence
The service may use artificial intelligence, including services supplied by OpenAI, to review responses, identify patterns, summarise information and generate draft commentary, reports and recommendations.
AI outputs can be incorrect, incomplete, outdated, inconsistent or unsuitable, and may appear convincing when inaccurate. You must use reasonable judgement and verify material outputs before relying on them. Neither IncuHive nor an AI provider guarantees accuracy, completeness, fitness for purpose or any commercial outcome.
AI output is not the sole basis for a decision producing legal or similarly significant effects about an individual unless we separately identify a lawful and appropriate process.
8 Information you provide
The usefulness of the service depends on accurate, complete and current inputs. You must not provide misleading information and should review outputs for material misunderstandings.
We are not responsible for errors or unsuitable recommendations caused by inaccurate, incomplete, outdated, ambiguous or omitted information, or by a material change after an assessment, except to the extent caused by our breach of these Terms or failure to exercise reasonable care.
9 Confidential and sensitive information
Responses may include turnover, profitability, cash flow, debt, funding, ownership, staffing, customers, suppliers, strategy, margins, weaknesses, operational problems and founder circumstances. We will use reasonable technical and organisational measures to protect this information and handle personal data under the Privacy and Data Protection Policy.
Do not submit passwords, bank credentials, card security data, authentication codes, private keys, unnecessary special-category personal data, unlawfully obtained information or information whose disclosure breaches a duty of confidence.
10 Information about other people
If you provide personal data about another person, you confirm that you have a lawful basis or authority to do so and have provided any required privacy information. Provide only information relevant and reasonably necessary for the assessment.
11 Licence and acceptable use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the service during your access period for your internal business purposes.
You must not misuse the service, attempt unauthorised access, introduce malicious code, scrape or reverse engineer the platform except where law permits, circumvent usage limits, infringe rights, upload unlawful content, or use outputs to make unlawful or discriminatory decisions. We may investigate suspected misuse and suspend access where reasonably necessary.
12 Your content and intellectual property
You retain ownership of information you submit. You grant us and our processors a licence to host, copy, transmit, analyse and otherwise process it only as reasonably required to provide, secure, support and improve the service, fulfil programme obligations and comply with law, subject to the Privacy and Data Protection Policy.
We and our licensors own the platform, questionnaires, scoring methods, templates, software, branding and general know-how. You may use reports generated for your organisation's internal purposes, but must not resell, white-label or systematically reproduce the service without written permission.
13 Paid annual subscriptions
Unless stated otherwise at checkout, paid access is an annual subscription beginning on the date in the order confirmation and continuing for 12 months. The price, included features and usage limits will be shown before purchase.
14 Automatic renewal
YOUR PAID SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR A FURTHER ANNUAL PERIOD UNLESS YOU CANCEL BEFORE THE RENEWAL DATE.
At renewal, the payment method on file may be charged the then-current price plus applicable VAT. You may switch off renewal through your profile account or by contacting
15 Renewal reminders and price changes
We will send renewal information to the primary account contact in reasonable time before payment, stating the renewal date, price, payment method and cancellation route. You must keep contact information current.
A price increase will not normally affect a term already paid for. We will notify you before a renewal at a changed price, and you may cancel before renewal.
16 VAT and payment
Fees are subject to VAT at the prevailing rate where applicable unless expressly stated otherwise. Business prices may be shown exclusive of VAT; a Consumer's total payable price, including VAT where required, will be displayed before ordering. VAT invoices will be provided where applicable.
By supplying payment details, you authorise collection of initial and renewal charges. If payment fails, we may retry, contact you, restrict or suspend access and terminate for continued non-payment. Properly accrued sums remain payable.
17 Funded and free access
Access may be free or discounted under a government, local-authority, university, public-body or other commissioned programme. These Terms still apply. Funded access may be time-limited, eligibility-dependent and end with the programme or funding.
Funded access does not create an ongoing right to free service. No paid subscription will begin, and no payment will be taken, unless the business separately agrees to paid terms and provides valid payment authorisation.
18 Sharing with commissioning organisations
For a funded or commissioned programme, we may share information with the identified commissioning organisation, which may be a council, combined authority, government department, university or other public body.
Subject to the programme notice and lawful arrangements, disclosures may include business and contact details, eligibility, participation, responses, scores, reports, recommendations, support delivered, progress, outcomes and information required for funding, monitoring, audit or evaluation. The Privacy and Data Protection Policy and programme-specific notice provide further details.
19 Consumer cancellation rights
This clause applies only to Consumers. Where a contract is made at a distance, you may have a statutory 14-day cancellation period beginning the day after the contract is made. To cancel, send a clear statement to
If you expressly request the service to begin during the cancellation period, we may charge a proportionate amount for services supplied before cancellation. If the service is fully performed after your express request and acknowledgement, the cancellation right may be lost where the law permits. Digital content rules may differ and require express consent and acknowledgement. Statutory rights remain unaffected.
20 Voluntary renewal cooling off
For automatically renewed annual subscriptions, we offer a 14-day renewal cooling-off period. If you contact us within 14 days after renewal, we will normally cancel the renewed term and refund it in full if it has not been materially used. Where substantial services were supplied at your request, we may make a lawful and reasonable deduction. This policy does not reduce greater statutory rights.
21 Business cancellation and refunds
A Business Customer may cancel renewal before the next renewal date. Unless agreed otherwise, cancelling partway through an annual term does not create a refund for the unused part. This does not affect the voluntary renewal policy, an express refund promise, rights following our material breach or rights that cannot lawfully be excluded.
Approved refunds will be returned to the original payment method where practicable. Processing time may depend on the payment provider.
22 Availability support and maintenance
We aim to provide reliable access but do not promise uninterrupted or error-free operation. We may suspend service for maintenance, security incidents, legal requirements or circumstances beyond reasonable control and will give notice where practicable. Support channels and target response times, if any, are those stated in the applicable plan or order.
23 Third party services and links
The service may depend on hosting, payment, email, analytics and AI suppliers or link to third-party resources. We are not responsible for independent third-party services outside our control. Your use of them may be subject to separate terms. This does not limit responsibility that cannot lawfully be excluded.
24 Suspension and termination
We may suspend or terminate access on reasonable notice for material breach, non-payment, unlawful use, security risk or conduct likely to harm users, the platform or our reputation. We may act immediately where necessary to prevent harm or comply with law.
On termination, your access ends, accrued rights and payment obligations survive, and provisions intended to continue - including confidentiality, intellectual property, liability and dispute terms - remain effective. Data will be handled under the Privacy and Data Protection Policy and applicable programme obligations.
25 Liability to Consumers
We are responsible for foreseeable loss or damage caused by our breach of these Terms or failure to use reasonable care and skill. We are not responsible for loss that was not foreseeable, for business losses suffered by a Consumer, or for loss caused by information or circumstances outside our reasonable control.
Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of statutory rights that cannot be excluded, or any other liability that law does not permit us to exclude.
26 Liability to Business Customers
Subject to the non-excludable liabilities below, we are not liable for loss of profit, revenue, business, contracts, anticipated savings, goodwill, reputation, data, opportunity or any indirect or consequential loss. We are not liable for decisions made in reliance on diagnostic or AI-assisted outputs where the need for independent verification was reasonably apparent.
Subject to the same exceptions, our aggregate liability arising from the service in any 12-month period will not exceed the greater of (a) fees paid or payable by the Business Customer for the service in that period and (b) [solicitor to insert an insured and commercially appropriate cap].
Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot lawfully be limited. The parties acknowledge that the restrictions allocate commercial risk and should be reviewed against insurance and contract value.
27 Business Customer indemnity
A Business Customer will indemnify us against third-party claims, losses and reasonable costs arising from its unlawful submission or use of information, infringement of third-party rights, breach of confidentiality owed to another person, or unlawful use of reports, except to the extent caused by our breach, negligence or wilful misconduct.
No indemnity is given by a Consumer. This clause is not an indemnity against our own negligence or defective AI output and must be reviewed by a solicitor for fairness, scope, procedure, mitigation and insurance compatibility.
28 Complaints
Send complaints to
You may request escalation to IncuHive Group CEO. Privacy complaints follow the Privacy and Data Protection Policy and may also be raised with the ICO. Consumer rights to pursue court proceedings or any applicable alternative dispute resolution route are unaffected. Insert details of any ADR body or state clearly if the business is not obliged and does not agree to use one, subject to current legal advice.
29 Changes to these Terms
We may change these Terms for legal, regulatory, security or service reasons. Material changes affecting a current paid term will be notified in advance where practicable. Changes will not retrospectively remove accrued rights. Continued use after an effective date constitutes acceptance only to the extent permitted by law.
30 General
Neither party is liable for delay caused by events beyond reasonable control, but payment obligations already due are unaffected. If part of these Terms is invalid, the remainder continues. A delay in enforcing a right is not a waiver. A Business Customer may not assign the contract without consent; we may assign it as part of a reorganisation or transfer of the service if this does not reduce mandatory rights.
These Terms and the order form constitute the entire agreement for Business Customers, excluding fraud. No third party has rights under the Contracts (Rights of Third Parties) Act 1999 unless expressly stated. Notices may be sent to the account contact. Electronic records and acceptances may be retained as evidence.
31 Governing law and courts
The laws of England and Wales govern these Terms. For Business Customers, the courts of England and Wales have exclusive jurisdiction. A Consumer resident elsewhere in the United Kingdom retains any mandatory right to bring proceedings in the courts of the part of the UK where they live.
